1 General

These terms and conditions apply to all services of pluriSelect-USA, Inc. towards business partners, legal persons or special funds of public law. Any opposing or additional terms and conditions of the purchaser shall be expressly excluded. They do not apply unless pluriSelect-USA, Inc. expressly states its approval.

2 Offers and Acceptance

(1) Offers of pluriSelect-USA, Inc. are subject to change without notice and are non-binding.

(2) The contract takes effect when pluriSelect-USA, Inc. accepts the order within four (4) weeks or delivers the goods within this period.

3 Price, Payment

(1) Prices are ex works and exclude packaging, shipment, customs, taxes, and insurance.

(2) Prices are in USD based on the current price list unless otherwise agreed.

(3) Payment is due upon delivery and invoice receipt without discount.

(4) Payments by check or bill require prior agreement; additional costs are borne by the buyer.

(5) If payment ability deteriorates, pluriSelect-USA may demand advance payment or suspend delivery.

(6) Offsetting claims is only allowed if undisputed and legally recognized.

4 Delivery Period

(1) Delivery will be made within the agreed period.

(2) Delays due to uncontrollable circumstances extend delivery time without liability.

5 Shipment, Risk, Insurance and Samples

(1) Goods are shipped at the buyer’s expense and risk.

(2) Risk transfers upon shipment.

(3) Delayed shipment transfers risk at readiness date.

(4) Buyer must accept goods; otherwise damages may apply.

(5) Damage must be reported immediately.

(6) Samples are for internal evaluation only and cannot be resold.

6 Retention of Ownership

(1) Buyer may process/sell goods in normal business operations.

(2) Ownership remains until full payment is received.

(3) Processed goods remain under proportional ownership.

(4) Receivables from resale are transferred to pluriSelect-USA.

(5) Buyer must report third-party access to goods.

(6) Goods may be reclaimed if payment obligations are breached.

7 Return, Refund, Cancellation Policy

Returns require prior authorization. Biological products cannot be returned. Non-biological returns are accepted within 14 days.

Right of Withdrawal: Customers may withdraw within 14 days of receiving goods.

8 Warranty

(1) Warranty period is 12 months unless stated otherwise.

(2) Exceptions apply in cases of fraud, negligence, or injury.

(3) Defects will be resolved via repair or replacement.

(4) Buyer must allow time for correction.

(5) Buyer must report defects with sufficient detail.

9 Data Privacy / Intellectual Property

(1) Personal data is processed as required by law.

(2) Documents and goods are protected by intellectual property rights.

(3) Advertising use requires prior approval.

10 Purpose, Safety and Usage

(1) Products are for research and industrial use only.

(2) Proper handling and storage are required.

(3) Distribution to unauthorized persons is prohibited.

(4) Buyer indemnifies against misuse claims.

11 Jurisdiction and Law

(1) Jurisdiction: San Diego, California, USA.

(2) Governing law: US law (excluding CISG).

(3) Language: English.
